Terms and Conditions of Service

These Terms and Conditions ('Terms') govern all services provided by Mothership Branding to its clients. By engaging Mothership Branding — whether through a written agreement, verbal instruction, or payment of a deposit — you confirm that you have read, understood, and agreed to these Terms in full.

These Terms apply to all projects, retainer arrangements, one-off commissions, and consultation or training services. They should be read alongside any written project agreement or scope of work issued for a specific project.

1. About Mothership Branding

2. Services

Mothership Branding provides freelance creative design, branding, and digital marketing services. These include, but are not limited to:

  • Branding & identity (logos, brand kits, colour palettes, typography systems)

  • Marketing collateral (print products, social media content, campaign visuals, launch asset packs)

  • Digital content (website design conception, presentation slides, pitch decks, business documents)

  • Video content (short-form Reels/Shorts, long-form MP4 presentations, 3D logo animations)

  • Consultation & training (Canva training, Photoshop training)

 

All services are delivered without generative AI in the final output. Every deliverable is produced through human-led design and craft.

The precise scope of services to be delivered will be agreed and confirmed in writing prior to commencement of any project. Mothership Branding reserves the right to decline any project at its discretion.

3. Quotes and Project Agreements

All projects begin with a written agreement (or confirmed brief) that sets out the agreed scope, deliverables, timeline, and cost. No design work will commence until this has been agreed by both parties.

Quotes are valid for 30 days from the date of issue. Any changes to the agreed scope after a project commences may result in revised pricing and/or timelines.

By accepting a quote, signing a client agreement, or paying a deposit, the client confirms acceptance of the project scope, pricing, and these Terms.

4. Fees and Payments

4.1 Rates

The base hourly rate is £20–25 per hour, dependent on project complexity and the nature of the client relationship. Fixed-price packages and bundled project rates are also available and will be confirmed in writing prior to commencement.

4.2 Payment Terms

  • A 50% deposit is required upfront before any design work begins on new projects or for first-time clients.

  • The remaining 50% is due upon project completion and prior to delivery of final files.

  • For ongoing retainer arrangements, invoices are issued monthly in advance and are due within 14 days of issue.

  • One-off small assets may be billed in full upfront at Mothership Branding's discretion.

 

4.3 Late Payment

Invoices not settled within the agreed payment period may result in work being paused. Mothership Branding reserves the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.4 Expenses

Any third-party costs incurred on behalf of the client (such as stock imagery licences or print production costs) will be agreed in advance and invoiced separately with supporting documentation.

5. Revisions

Up to two rounds of revisions are included within the agreed project scope at no additional charge. A 'revision round' is defined as a single batch of consolidated feedback on a concept direction or set of refinements.

Revisions beyond the included two rounds, or revisions that significantly alter the original brief, will be billed at the standard hourly rate. Where the requested changes represent a significant departure from the original brief, a revised scope and updated quote will be agreed before work continues.

6. Cancellation

6.1 Cancellation by the Client

Clients wishing to cancel a project after work has commenced must notify Mothership Branding in writing. The following applies:

  • If cancellation occurs before any work has begun, the deposit will be refunded in full.

  • If cancellation occurs after design work has commenced, the 50% deposit is non-refundable.

  • If significant work has been completed beyond the initial concept stage, an additional charge may apply on a pro-rata basis at the agreed hourly rate.

 

6.2 Cancellation by Mothership Branding

Mothership Branding reserves the right to cancel a project if: the client repeatedly fails to provide required materials or feedback; the client acts in an abusive or disrespectful manner; or the project scope has changed beyond what can be resolved through a revised agreement. In such circumstances, a fair assessment will be made and any prepaid amounts for work not yet started will be refunded.

7. Refunds

Refunds are assessed on a case-by-case basis. The following table summarises common scenarios:

If a deliverable does not meet the specifications outlined in the original agreed brief, it will be revised at no additional charge. Please raise any concerns before seeking a refund — we would always prefer to resolve it directly.

8. Intellectual Property

8.1 Ownership on Full Payment

Ownership of final design files transfers to the client upon receipt of full and final payment. Until that point, all work in progress, concepts, and deliverables remain the intellectual property of Mothership Branding.

8.2 Source Files

Editable source files (e.g. .ai, .psd, .indd) may be provided upon request. This must be noted in the client agreement prior to project commencement.

 

8.3 Font Licences

Font licences are held by the designer and cannot always be transferred. Where specific typefaces are used, clients will be advised on licensing requirements for independent use.

 

8.4 Rejected Concepts

All work-in-progress files, unused concepts, and rejected directions remain the intellectual property of Mothership Branding and will not be delivered as part of any cancellation settlement.

 

8.5 Portfolio Use

Mothership Branding reserves the right to display completed client work in its portfolio and on social media channels unless the client has explicitly requested confidentiality in writing prior to project commencement.

9. Client Responsibilities

The client agrees to:

  • Provide accurate, complete, and timely information, materials, and feedback required to progress the project.

  • Respond to requests for feedback or approvals within any agreed timeframes. Delays caused by the client may affect the project timeline.

  • Ensure that all materials, images, text, or other content supplied to Mothership Branding are owned by the client or appropriately licensed, and do not infringe the intellectual property rights of any third party.

  • Obtain any necessary permissions or approvals required for the use of supplied materials.

 

Mothership Branding accepts no liability for any claims, losses, or damages arising from client-supplied materials that infringe third-party rights.

10. Confidentiality

Mothership Branding treats all client information — including briefs, business strategies, unreleased products or campaigns, and any sensitive materials shared during the course of a project — as strictly confidential. This information will not be shared with any third party without the client's written consent, except where required by law.

Clients are equally requested to treat any proprietary processes, pricing structures, and working methods disclosed by Mothership Branding as confidential.

11. Limitation of Liability

Mothership Branding's total liability to a client in connection with any project shall not exceed the total fees paid by the client for that specific engagement.

Mothership Branding shall not be liable for any indirect, consequential, or incidental loss — including loss of business, revenue, anticipated profits, or damage to reputation — arising from the provision of services.

Mothership Branding is not responsible for delays caused by client-side factors, including delayed feedback, incomplete briefs, or failure to supply required materials.

12. Warranties

Mothership Branding warrants that all services will be provided with reasonable skill and care, and that all deliverables will meet a professional standard consistent with the agreed brief.

Mothership Branding makes no warranty as to the commercial success or effectiveness of any branding, marketing, or creative work delivered. Results are dependent on factors outside of Mothership Branding's control.

13. Third-Party Services

Some services may involve the use of third-party platforms or tools (such as Canva, Adobe Creative Suite, Wix, or Google Workspace). Mothership Branding is not responsible for any disruption, data loss, or changes in functionality resulting from third-party platform issues.

Any third-party licences or platform costs required by the client for independent use of delivered assets are the client's responsibility to obtain and maintain.

14. Data Protection

Mothership Branding processes client personal data in accordance with UK GDPR and the Data Protection Act 2018. Full details are set out in the Mothership Branding Privacy Policy, available at www.mothershipbranding.com.

15. Force Majeure

Mothership Branding shall not be held liable for any failure or delay in delivering services arising from circumstances beyond its reasonable control, including illness, natural disasters, power outages, or internet service disruptions.

In such circumstances, Mothership Branding will notify the client as soon as reasonably practicable and work to resume services at the earliest opportunity.

16. Governing Law

These Terms and all agreements between Mothership Branding and its clients are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Amendments to These Terms

Mothership Branding reserves the right to update these Terms at any time. The most current version will always be published at www.mothershipbranding.com. The version in effect at the time a project agreement is signed will apply to that project.

18. Entire Agreement

These Terms, together with any written project agreement or scope of work, constitute the entire agreement between Mothership Branding and the client. They supersede all prior discussions, representations, or agreements, whether written or verbal.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
